1 Scope and supplier
These General Terms and Conditions apply to sales of goods by Paul Palige, trading as PALIGE-Schweißtechnik, Kammerkoppel 19, 24222 Schwentinental, Germany, where their application is agreed before the contract is concluded.
Our offering is exclusively for business customers within the meaning of section 14 of the German Civil Code (BGB), acting in the course of their commercial or independent professional activities when placing an order. We do not sell to consumers.
Individual agreements between us and the customer take precedence over these terms.
2 Enquiries and conclusion of contracts
Product presentations on our website provide information and do not constitute binding offers to enter into a contract. Enquiries and orders may be sent by email to verkauf@palige-schweisstechnik.de.
A contract is concluded through an offer and its acceptance. If we make a binding offer to a customer, the customer may accept it within the period specified in that offer. If no period is specified, the statutory provisions apply. If the customer first submits a binding order, a contract is concluded when we accept it. A message that merely acknowledges receipt is not an acceptance unless it expressly states that the order is accepted.
The content of the contract is determined by the parties' corresponding declarations, including the agreed product description.
3 Prices and payment
The price, treatment of VAT, any shipping charges and payment terms are set out in the individual agreement. The conditions agreed when the contract is concluded apply. Historical price lists and non-binding price indications do not replace that agreement.
Where no different payment terms have been agreed, the statutory provisions apply. These terms do not impose a special advance-payment obligation or an additional payment fee.
4 Delivery
The scope and place of delivery and any agreed delivery dates or periods are determined by the individual agreement. Unless otherwise agreed, the statutory provisions apply to delivery and the transfer of risk.
5 Defects and liability
The statutory provisions apply to defects in the goods supplied and to our liability. These terms do not exclude or restrict statutory rights relating to defects or statutory liability claims.
